Terms & Conditions

Last updated: 11 August 2026

These Terms & Conditions (“Terms”) govern your use of the Uniclusion platform — our website, applications and services (the “Platform”) — operated by Uniclusion Pvt. Ltd. (“Uniclusion”, “we”, “us”). By creating an account or using the Platform you accept these Terms and our Privacy Policy. We record your consent, with the version of the Terms you accepted, at registration.

1. Who we are

Uniclusion Pvt. Ltd. is an AMFI-registered Mutual Fund distributor (ARN-331693). We distribute Mutual Fund schemes and facilitate enrolment and contributions under the National Pension System (“NPS”) in association with an authorised Point of Presence and the Central Recordkeeping Agency.

2. Nature of our services

Uniclusion is a distributor only. We are not an Asset Management Company (“AMC”), a fund manager, the manufacturer of any financial product, or a SEBI-registered investment adviser. The Platform is execution-only: nothing on it — including any calculators, guided defaults, curated lists or educational content — is investment advice or a recommendation for your specific circumstances. You are solely responsible for your investment decisions, and should read the offer and scheme-related documents and, where needed, take independent financial, legal or tax advice before investing.

3. How transactions work

Mutual Fund orders you place on the Platform are transmitted through the Open Network for Digital Commerce (“ONDC”): Uniclusion operates the buyer-side application, and your order is executed — and your payment collected — by a seller-side network participant, which settles it with the AMC and its Registrar & Transfer Agent. NPS enrolment and contributions are processed through the Point of Presence and the Central Recordkeeping Agency under PFRDA regulations. Uniclusion does not hold your money.

4. Commissions

For regular plans of Mutual Fund schemes distributed through the Platform, Uniclusion earns a commission from the AMC. Details of commissions are available on request at support@uniclusion.com.

5. Eligibility and your declarations

By using the Platform you represent that you:

  • are 18 years of age or older, resident in India, and competent to contract;
  • are investing your own money, from your own bank account;
  • declare, under the Prevention of Money Laundering Act, 2002, that your investments are derived from legally declared and assessed sources of income, remitted through approved banking channels;
  • will provide information and documents that are true, accurate and current, and will promptly update us if they change; and
  • will not create an account for, or transfer your account to, any other person.

6. Your account

You register on the Platform with your mobile number, verified by one-time password. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at support@uniclusion.com of any actual or suspected unauthorised use. We may suspend or terminate your account if information you provided is found to be untrue, inaccurate or incomplete.

7. KYC

Your use of the Services is conditional on successful completion of Know Your Client (“KYC”) verification under SEBI and PFRDA norms, through KYC Registration Agencies, the Central KYC registry or other authorised agencies. We may ask you for additional information or documents at any time to meet these obligations.

8. Orders, payments and refunds

  • Orders are subject to the terms of the relevant scheme’s offer documents and to SEBI’s cut-off timing and applicable-NAV rules.
  • Payments must be made from your own registered bank account.
  • A completed transaction cannot be cancelled. Redemptions and withdrawals are governed by the relevant scheme’s terms (including any exit load or lock-in) and, for NPS, by PFRDA regulations.
  • If an order fails or is rejected after payment, the money is refunded to your source bank account within the timelines of the AMC, its Registrar & Transfer Agent, the seller-side network participant and the payment systems involved.

9. Investment risks

Mutual Fund investments are subject to market risks. Read all scheme-related documents carefully before investing. Past performance is not indicative of future returns. NPS returns are market-linked and not guaranteed. The value of your investments can go down as well as up, and neither Uniclusion nor any AMC, Point of Presence or network participant guarantees any return or the preservation of capital.

10. Acceptable use

You agree to use the Platform only for lawful, personal, non-commercial purposes. You must not:

  • attempt to gain unauthorised access to the Platform, other users’ accounts, or the systems and networks connected to it, or probe or test their vulnerability except with our prior written consent;
  • interfere with or disrupt the Platform, introduce malware, or use any automated means to scrape or extract data from it;
  • impersonate any person, or misrepresent your identity or information; or
  • copy, reproduce, modify, distribute or create derivative works from the Platform or its content except as these Terms allow.

11. Intellectual property

The Platform and its content — including text, design, graphics, logos and software — are owned by Uniclusion or its licensors and protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable licence to use the Platform for your own personal use. The Uniclusion name and marks may not be used without our prior written consent.

12. Disclaimers and limitation of liability

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, timely, secure or error-free, and it may be unavailable during maintenance or for reasons beyond our control.

To the maximum extent permitted by law, Uniclusion is not liable for: losses arising from your investment decisions or market movements; delays, failures or rejections attributable to an AMC, Registrar & Transfer Agent, ONDC network participant, Point of Presence, Central Recordkeeping Agency, bank or payment system; unauthorised use of your account resulting from your failure to keep credentials secure; or any indirect, incidental, special or consequential loss. We are not liable for any failure or delay caused by events beyond our reasonable control, including system or network outages, acts of government, and other force-majeure events.

13. Indemnity

You agree to indemnify and hold harmless Uniclusion, its directors and employees from claims, losses and costs (including reasonable legal fees) arising out of your breach of these Terms, your violation of applicable law, or inaccurate or misleading information you provide.

14. Suspension and termination

You may stop using the Platform and ask us to close your account at any time. We may suspend or terminate your access if you breach these Terms or applicable law, if a regulator or court requires it, or if your KYC cannot be verified. Your transaction records are retained after closure as required by law.

15. Grievance redressal

Write first to support@uniclusion.com, addressed to the Grievance Officer, Uniclusion Pvt. Ltd.. For grievances relating to Mutual Fund distribution that remain unresolved, you may escalate to the relevant AMC / RTA and thereafter to SEBI through its SCORES portal or the securities-market Online Dispute Resolution mechanism. NPS grievances may be raised through the CRA’s grievance system under PFRDA regulations.

16. Governing law

These Terms are governed by the laws of India. Subject to applicable law, the courts at Delhi have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Platform.

17. General

  • Changes: we may update these Terms; the revised version will be posted here with a new “Last updated” date and we will notify you of material changes. Continued use after changes take effect constitutes acceptance.
  • Severability: if any provision is held unenforceable, the remainder continues in full force.
  • Waiver: our failure to enforce a provision is not a waiver of it.
  • Assignment: you may not assign these Terms; we may assign them in connection with a merger or transfer of our business.
  • Notices: we give notices by email to your registered address or through the Platform.
